2. Use of Branding Materials
2.1 License to Branding: By registering on the App, you grant Closr a non-exclusive, royalty-free, revocable license to use your name, logo, trademarks, and associated branding materials ("Branding Materials") for:
Displaying your profile on the App platform.
Promoting your offerings within the App and through Closr's marketing channels.
2.2 Rights Assurance: You represent that you own all rights to your Branding Materials and that their use by Closr will not infringe any third-party rights.
2.3 Usage Compliance: Closr will use your Branding Materials solely for the purposes outlined in these Terms and in accordance with any provided usage guidelines.
3. Offers to App Users
3.1 Exclusive Promotions: You must provide exclusive discount/s or promotional deals to App users. You are responsible for ensuring that all promotional terms are upheld for the duration of the promotion.
4. Display and Promotion on the App
4.1 Listing: Your profile may include descriptions, images, location details, and contact information for users to get in touch.
4.2 Promotion: Closr may feature your profile in newsletters, notifications, or other promotional campaigns. You may also promote Closr App deals within your marketing channels.
5. Term and Termination
5.1 Term: These Terms are effective from the date you sign up and continue unless terminated.
5.2 Termination: Either party may terminate participation by providing 30 days' written notice. Closr reserves the right to remove profiles at its discretion.
6. Confidentiality
Both parties agree to keep all non-public, proprietary information shared during their association confidential and not disclose it without prior written consent.
7. User Obligations and Indemnification
7.1 Indemnification: You agree that if Closr faces any claims or issues because:

There are problems related to the use of your Branding Materials
You will cover any costs, damages, or losses that result. This means Closr will not be responsible for those issues.
7.2 Penalty for Non-Compliance: Closr may impose penalties and/or remove profiles if agreed-upon promotions are not honoured.
7.3 Operational Updates: You must notify Closr of any promotional changes that may impact user experience. These could be offers, changes in hours or service availability/location.
7.4 Challenge 25 Policy: The business (‘’you’’) must comply with UK Challenge 25 policy for age-restricted products (e.g., tobacco, vapes, alcohol) and perform ID checks at the point of sale.
8. Limitation of Liability
Closr shall not be liable for any indirect, incidental, or consequential damages arising from use of the App.
9. Changes to Terms
Closr reserves the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
